We refer to Sections 4.10(iii)(e) and 15.6(ii)(c) of the Prospectus of IHH dated 2 July 2012 in relation to restriction for Aydinlar Shareholders to sell any of its shares until the first anniversary of the listing date. The Board of Directors of IHH wishes to announce that the Company had on 8 April 2013 entered into a Waiver Agreement with Pulau Memutik Ventures Sdn Bhd (“Pulau Memutik”), MBK Healthcare Partners Limited (“MBK Healthcare”) and Aydinlar Shareholders for the purpose of the Waiver. The Waiver was undertaken in order to enable Aydinlar Shareholders to pledge such shares in IHH as held by them as security in relation to credit facilities obtained from financial institutions. The Waiver will not have any effect on the earnings or net assets of the IHH Group for the financial year ending 31 December 2013. Pulau Memutik and MBK Healthcare are major shareholders of the Company. MAA is a Non-Independent Executive Director of the Company. HSA and Acibadem Holding are persons connected to MAA. Save as disclosed, none of the other Directors and/or major shareholders of IHH or persons connected to them, have any interest, direct or indirect in the Waiver.
