1. Introduction The Board of Directors (“Board”) of SPK-Sentosa Corporation Berhad (“SPK” or “the Company”) is pleased to announce that Budaya Positif Sdn Bhd (“the Concession Company”), a subsidiary of the Company, had on 25 January 2013 entered into a Concession Agreement (“CA”) with the Government of Malaysia and Universiti Malaysia Perlis (“UNIMAP”) for the design, development and maintenance of Student’s Residential Building Blocks for UNIMAP in Padang Siding, Perlis Indera Kayangan through Public Private Partnership (“the Project”). The Concession Company will be responsible to finance, design, develop, construct and maintain the Project. The total development cost of the Project is approximately RM143,070,000. The construction period of the Project is 2.5 years and construction is expected to commence by June 2013 and to be completed in December 2015. Thereafter, followed by maintenance of the Project for a period of 20 years. The Project is conditional upon the Concession Company securing financing for the Project within 6 months from the date of the execution of the CA. 2. Source of Funding The Project shall be funded by internally generated funds and bank borrowings. 3. Financial Effects 3.1 Earnings per share, Net Assets and Gearing The Project is not expected to have any material effect on the earnings, net assets per share and gearing of SPK Group for the financial year ending 31 December 2013. 3.2 Share Capital and Substantial Shareholders’ Shareholdings The Project will not have any effect on the issued and paid-up share capital and Substantial Shareholders’ shareholdings of SPK as the CA does not involve any issuance of shares of SPK. 4. Approval of Shareholders and the Relevant Authorities The Project does not require the approvals of the shareholders of SPK nor of any government authorities. 5. Directors and Substantial Shareholders’ Interests None of the directors and substantial shareholders of SPK or persons connected to them are interested, directly or indirectly in the Project. 6. Directors’ Statement The directors of SPK are of the opinion that the Project is in the best interest of SPK. This Announcement is dated 25 January 2013. | |
