(Unless otherwise stated, definitions used in this announcement shall carry the same meanings as defined in the announcements dated 9 January 2012, 16 January 2012, 24 April 2012, 25 June 2012, 24 August 2012 and 23 November 2012.) On behalf of the Board, TA Securities wishes to announce that Bursa Securities has, vide its letter dated 17 December 2012, approved the Proposed Acquisition and Proposed Private Placement and the listing of and quotation for up to 569,948,543 new ordinary shares of RM0.10 each in IAB to be issued pursuant to the Proposed Acquisition and Proposed Private Placement on the ACE Market of Bursa Securities, subject to the following conditions: (i)����������� To disclose JMI’s policy in managing its inventory in the Circular to Shareholders; (ii)��������� To ensure that all information stated in Circular is updated to not more than one month prior to the date of the Circular. (iii)������� All proposed directors of IAB that have not attended the Mandatory Accreditation Programme to do so prior to listing of the Consideration Shares; (iv)������� TA Securities/ Company to fully comply with the relevant requirements pertaining to the implementation of the above Proposed Acquisition and Proposed Private Placement as stipulated in the ACE LR. (v)��������� Submission of the following information in respect of the moratorium on the shareholdings of the vendors of JMI to Bursa Malaysia Depository Sdn Bhd (“Bursa Depository”) a)������������ Name of shareholders; b)������������ Number of shares; and c)������������ Date of expiry of the moratorium for each block of shares; (vi)������� TA Securities/ Company to furnish a certified true copy of the relevant resolutions passed by securities holders in the general meeting; (vii)����� TA Securities/ Company to inform Bursa Securities upon completion of the Proposed Acquisition and Proposed Private Placement; and (viii)��� TA Securities/ Company to inform Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed.
