Reference is made to the Company’s requisite announcement dated 1 August 2012 in relation to the Proposed Regularisation Exercise.

On behalf of the Board of Directors of Ho Hup, M&A Securities Sdn Bhd wishes to announce that Ho Hup proposes to amend certain terms of the Proposed Regularisation Exercise announced on 1 August 2012.� The amendments to certain terms of the Proposed Regularisation Exercise are essentially to clarify the salient terms of the ICPS and RCPS and the inter-conditionality of the proposals as well as to incorporate the price fixing of the exercise price of the Warrants pursuant to the Proposed Rights Issue of ICPS with Warrants (“Amendments”). Save for the Amendments, the other terms of the Proposed Regularisation Exercise remain unchanged.
