| Description | BANDAR RAYA DEVELOPMENTS BERHAD ("BRDB") UNCONDITIONAL TAKE-OVER OFFER BY AMBANG SEHATI SDN BHD ("AMBANG SEHATI" OR "OFFEROR") THROUGH CIMB INVESTMENT BANK BERHAD ("CIMB") AND NEWFIELDS ADVISORS SDN BHD ("NEWFIELDS") TO ACQUIRE: (I) ALL THE ORDINARY SHARES OF RM1.00 EACH IN BRDB (“BRDB SHARES”) AND SUCH NUMBER OF NEW BRDB SHARES THAT MAY BE ISSUED PURSUANT TO THE EXERCISE OF ANY OUTSTANDING WARRANTS ISSUED BY BRDB (“BRDB WARRANTS”) PRIOR TO THE CLOSE OF THE OFFER WHICH ARE NOT ALREADY HELD BY THE OFFEROR (“OFFER SHARES”) AT A CASH OFFER PRICE OF RM2.90 PER OFFER SHARE ("SHARES OFFER"); AND (II) ALL THE OUTSTANDING BRDB WARRANTS WHICH ARE NOT ALREADY HELD BY THE OFFEROR (“OFFER WARRANTS”) AT A CASH OFFER PRICE OF RM1.80 PER OFFER WARRANT ("WARRANTS OFFER") (THE SHARES OFFER AND WARRANTS OFFER ARE COLLECTIVELY REFERRED TO AS THE "OFFER") - ACCEPTANCES LEVEL AND PUBLIC SHAREHOLDING SPREAD REQUIREMENT |
The Board of Directors of BRDB wishes to inform that BRDB has today received the attached press notice from CIMB and Newfields ("Joint Advisers"), on behalf of the Offeror, informing that the Offeror has received valid acceptances in respect of the ordinary shares of RM1.00 each in BRDB ("BRDB Shares") not already held by the Offeror, resulting in the Offeror holding, together with such BRDB Shares that are already acquired, held or entitled to be acquired or held, more than 75% of the total voting shares of BRDB as at 5.00 p.m. on 24 September 2012. As a result, BRDB does not comply with the public shareholding spread requirement ("Public Spread Requirement") as set out under Paragraph 8.02(1) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad. As stated in Section 5.1 of the Offer Document dated 10 September 2012, Ambang Sehati does not intend to maintain the listing status of BRDB in the event BRDB is unable to comply with the Public Spread Requirement and that it will procure BRDB to take the necessary procedures to de-list BRDB. As set out in the Joint Advisers' press notice dated 20 September 2012, the Offer for BRDB Shares will remain open for acceptances until 5.00 p.m. on Thursday, 4 October 2012 and the Offer for the warrants in BRDB ("BRDB Warrants") will remain open for acceptances until 5.00 p.m. on Wednesday, 26 September 2012 to coincide with the expiry of the BRDB Warrants.
