We refer to the announcements made on 31 October 2007, 16 November 2007, 20 July 2010, 18 August 2010, 27 August 2010 and 5 September 2012. The Board of Directors of LDHB wishes to announce that Excel Step Investments Limited (the "Issuer"), a wholly-owned subsidiary of the Company, will convene a meeting (the "Bondholders’ Meeting") of the holders of its USD132,110,000 nominal value 6.0 per cent. Guaranteed Secured Exchangeable Bonds due 2012 (the "Bonds") constituted by the trust deed dated 16 November 2007, as amended by a supplemental trust deed dated 2 September 2010 (the "Trust Deed"), each made between the Issuer, LDHB, The Bank of New York Mellon, London Branch and AmTrustee Berhad (the "Security Trustee"), at 10:00 a.m., Singapore time on 24 October 2012, at the offices of the Trustee, #03-01 Millenia Tower, One Temasek Avenue, Singapore 039192 for the purpose of considering and, if thought fit, passing the following resolution, which will be proposed as an Extraordinary Resolution in accordance with the provisions of the Trust Deed. Such Extraordinary Resolution relates to (i) certain amendments proposed by the Issuer to the Terms and Conditions of the Bonds and the Trust Deed to be effected by way of a supplemental trust deed between the parties to the Trust Deed to be entered into before 16 November 2012 pursuant to the Extraordinary Resolution passed at the Bondholders’ Meeting; and (ii) the release of monies held by the Security Trustee in respect of the existing security arrangements in respect of the Bonds for the purpose of conversion into U.S.$ and the application of such U.S.$ amount in making payments due by the Issuer in respect of the Bonds on 16 November 2012.
