(“XMSB”), representing 100% of the issued and paid-up capital of XMSB for a total cash consideration of RM2-00 only, resulting in XMSB becoming a wholly-owned subsidiary of the Company. XMSB was incorporated on 2 September 2014 and its authorised share capital is RM400,000/- comprising 400,000 ordinary shares of RM1-00 each. XMSB is currently dormant and its intended principal activities are trading and distribution of edible oil. None of the Directors and/or major shareholders of XingHe Holdings and/or persons connected to them have any interest, direct and indirect in the above acquisition.
