We refer to Sections 7.2.2(v), 7.2.3(iii) and 7.2.5 of the Prospectus of Tanah Makmur Berhad (“Tanah Makmur”) dated 26 June 2014, wherein it was stated that Tanah Makmur had proposed to the State Government of Pahang for the new State Administrative Complex of the State Government of Pahang to be included in the KotaSAS Township, and that Tanah Makmur, through Kreatif Sinar Gabungan Sdn Bhd (“Kreatif Sinar Gabungan”), a 65%-owned subsidiary of Tanah Makmur, was awaiting to be awarded the Project. The Board of Directors of Tanah Makmur wishes to announce that Kreatif Sinar Gabungan had 8 December 2014 accepted the LOI for the Project dated 24 November 2014 signed by YAB Dato’ Sri DiRaja Hj. Adnan Bin Hj. Yaakob, the Chief Minister of Pahang, for and on behalf of the State Government of Pahang. Among the salient terms of the LOI are as follows: 1 . Kreatif Sinar Gabungan must comply and implement all matters included in the Non-Conformance Schedule as agreed during the Pre-Preparation of Letter of Acceptance Workshop on 3-5 September 2014. 2. The procurement method for this Project will be through Sales and Purchase Agreement whereby Kreatif Sinar Gabungan will be the developer and the power to appoint the developer for the Project will be the State Government. 3. 30% of the works for the implementation of the Project are to be awarded to bumiputera contractors from Pahang.
