The Board of Directors of Datasonic wishes to announce that Datasonic Technologies Sdn Bhd (“DTSB”) (Company No. 219626-X), a wholly-owned subsidiary of the Company, has on 25 June 2014, entered into a Share Sale Agreement with HKS Primatrix Sdn Bhd (Company No. 490405-A), Encik Habibul Rahman Bin Kadir Shah (NRIC No. 560816-08-6413), Dato’ Razali Merican Bin Naina Merican (NRIC No. 701119-07-5109) and Encik Zaid Bin Kadershah (NRIC No. 640521-10-7459) (collectively referred to as “the Vendors”) for the purpose of acquiring 6,000 ordinary shares of RM1.00 each, representing 30% of the issued and paid-up share capital of Fuelsubs House Sdn Bhd (“FHSB”) (Company No. 1069239-U) free from all claims, charges, liens, encumbrances and equities whatsoever together with all rights attached thereto and all dividends rights and distributions declared paid or made in respect thereof for a total purchase consideration of RM10,000,000.00 of which RM6,000.00 shall be paid upon execution of SSA. DTSB has also on even date, entered into a Shareholders Agreement with FHSB and the Vendors for the purpose of regulating the relationship between DTSB and the Vendors as shareholders of FHSB.
