| Description | SERSOL BERHAD (Formerly known as SerSol Technologies Berhad) (“SerSol” or the “Company”) - Memorandum of Understanding (“MOU”) entered between the Company and Persatuan Kontraktor Melayu Malaysia (“PKMM”) |
1. Introduction
The MOU is effective from the date of signing until 31 December 2014 unless extended in writing by the mutual consent of the Company and PKMM (the “Parties”). PKMM is a society established in 1975 which has developed into an extensive umbrella organisation that represents the Malay contractors in Malaysia in the construction industry and service sector and is devoted to further promoting, assisting and developing the Malay contractors and their businesses in the industry. The Company and PKMM agrees to establish a strategic synergy where the Company agrees to sell and supply to PKMM and PKMM agrees to encourage all their members to purchase from the Company the C1M to be used in all building and construction contracts secured or entered into by PKMM members with the government and private sectors for all the building and construction projects, upon such terms and conditions to be agreed upon prior to the execution of each purchase order of the Products. The MOU is not expected to have any material effect on the earnings per share, net assets per share, gearing, share capital and substantial shareholders’ shareholding of the Company for the financial year ending 31 December 2013. Should the strategic synergy materialises, it is expected to contribute positively to the future earnings of the Group. 5. Directors’ and major shareholders’ interest None of the Directors and/or major shareholders of the Company and/or any persons connected to them have any interest, direct or indirect, in the MOU. The Board of Directors of the Company, having taken into consideration all aspects of the MOU, is of the opinion that the MOU is in the best interest of the Company and its subsidiaries.
