The Board of Directors of IOI wishes to announce that the Company intends to seek the approval of its shareholders at the forthcoming 44th Annual General Meeting to be convened for the following:- (i) the proposed renewal of the authority for the Company to purchase up to 10% of the issued and paid-up share capital of the Company ("Proposed Renewal of Existing Share Buy-Back Authority"); (ii) the proposed renewal of shareholders' mandate for recurrent related party transactions of a revenue or trading nature and proposed new shareholders' mandate for additional recurrent related party transaction of a revenue or trading nature ("Proposed Shareholders' Mandate"); and (iii) the proposed amendments to the Articles of Association of the Company ("Proposed Amendments"). The Proposed Amendments are made to streamline the Company's Articles of Association with the amended Listing Requirements of Bursa Malaysia Securities Berhad and to ensure clarity and consistency throughout the Articles of Association. A circular to shareholders containing the details of the Proposed Renewal of Existing Share Buy-Back Authority and Proposed Shareholders' Mandate will be despatched to the shareholders of the Company in due course, whilst the details of the Proposed Amendments will be attached to the Annual Report 2013.
