We wish to announce that Merge Properties Management Services Sdn Bhd ("MPMS") and Merge Trading Sdn Bhd ("MT"), wholly-owned subsidiaries of Merge, had on 1 July 2013, applied to the Companies Commission of Malaysia ("CCM") for striking off pursuant to Section 308 of the Companies Act, 1965. The CCM had replied via its letter dated 2 September 2013 which was received on 13 September 2013, enclosing a notice informing that at the expiration of three (3) months from the date of the notice, MPMS's and MT's name will, unless cause is shown to the contrary, be struck off the Register by the CCM and both MPMS and MT will be dissolved. MPMS and MT is a dormant company which was incorporated on 27 January 1983 and 24 September 1996 respectively. The authorised and paid-up share capital of MPMS are RM500,000.00 and RM500,000.00 respectively. The authorised and paid-up share capital of MT are RM5,000,000.00 and RM200,003.00 respectively. The striking off of MPMS and MT has no material financial effect on Merge. None of the directors or substantial shareholders of Merge or persons connected with them has any interest, whether direct or indirect in the aforesaid striking off.
