The Board of Directors of GHL wishes to announce that the Company had on 4 April 2013 acquired remaining one (1) ordinary share of RM1.00 in the share capital of GEP, at a nominal cash consideration of RM1.00. Subsequent to the acquisition of the said share, GEP became a wholly-owned subsidiary of the Company. GEP was incorporated on 29 March 2013 under the Companies Act, 1965 with an issued and paid-up capital of RM2.00 comprising of two (2) ordinary shares of RM1.00 each. The principal activity of GEP is to provide electronic payment services and online and mobile merchant acquisition. The incorporation of GEP will not have any material effect on the share capital, shareholding structure, gearing, net assets per share and earnings per share of GHL.
