Pursuant to Clause 4.1 of the MOU, the term of the MOU has expired on 16 November 2012. Despite extensive negotiations and discussions, both parties were unable to agree on the commerical terms of the final proposal. As such, the Company no longer wishes to pursue with the MOU.
