1. � � Introduction

PPB Group Berhad (“PPB”) wishes to announce the commencement of a members’ voluntary winding up of Cipta Quantum on 23 November 2012 pursuant to Section 254(1)(b) of the Companies Act 1965 (the “Winding Up”); and the appointment of Mr Onn Kien Hoe and Ms Chin Mee Shang of Crowe Horwath Advisory Sdn Bhd as the liquidator for the purpose of the Winding Up.

2.� � �INFORMATION On Cipta QuaNtum

Cipta Quantum was incorporated in Malaysia on 15 June 1995. The authorised share capital of Cipta Quantum is RM1,000,000 comprising 1,000,000 ordinary shares of RM1 each, all of which have been issued and paid-up. Cipta Quantum is an indirect wholly-owned subsidiary of PPB.

The previous principal activities of Cipta Quantum were trading, distribution, and import and export of equipment, products and services in waste management and other industries. The company ceased business operations in 2006 and is presently dormant.


3.� � �RATIONALE FOR THE WINDING UP

�����  Cipta Quantum has ceased business operations and there are no plans to resume any future business activities.


4.� � ��FINANCIAL EFFECTS OF THE WINDING UP
