We refer to the announcement on 28 August 2012 in relation to the Proposed LTIP and the Notice of Extraordinary General Meeting (“EGM”) dated 2 October 2012 (“EGM Notice”). We wish to announce that the Board of Directors of the Company has today resolved to withdraw the resolutions in respect of the Proposed Award to the Non-Executive Directors (being Ordinary Resolutions 5, 6, 7 and 8 set out in the EGM Notice) (collectively referred to as “Proposed Resolutions”) from being tabled for our shareholders’ approval at the EGM. IJM has initially proposed to extend the Company’s proposed employee share option scheme (“Proposed ESOS”) to the Non-Executive Directors in recognition of their contribution to the growth and performance of IJM Group. �The Proposed ESOS is also expected to incentivise the Non-Executive Directors to continue providing strategic direction to IJM Group by allowing them equity participation in the growth and profits of IJM Group. However, upon receiving notification from the Non-Executive Directors of their wish not to avail themselves to the Proposed ESOS, the Board has decided for the Proposed Resolutions to be withdrawn. The Board of Directors of SBGB wishes to announce that Stanson Marketing Sdn Bhd (“SMSB”), a wholly-owned subsidiary of SBGB, has on 17 October 2012 been served with a Writ dated 4 October 2012 and Statement of Claim dated 2 October 2012 filed in the Shah Alam Sessions Court by Grey Two Sdn Bhd (the “Plaintiff”). By the said suit, the Plaintiff claims a sum of RM82,058.80 as owing by SMSB being the outstanding fee for the contract dated 26 October 2010, plus interest thereon at the rate of 8% per annum (calculated from 15 March 2011 until the date of judgement) and 4% per annum (from the date of judgement until the date of full settlement), and costs. The Directors of the Company are of the opinion that the amount claimed is not expected to have any financial or operational impact as such claims, if SMSB is at all liable for, is envisaged to be restructured pursuant to the regularisation plan being formulated for the Group. The Company is advised that the Plaintiff is restrained from commencing or further proceeding with the said suit without leave of the Court by virtue of and in accordance with the restraining order pursuant to Section 176(10) of the Companies Act, 1965, which was granted by the High Court in favour of SMSB on 12 October 2012. The Company is also currently seeking legal advice with regards to the said suit. The Company will make the necessary announcements on further developments of the above matter as and when necessary. This announcement is dated 17 October 2012. |
