The Board of PETONE wishes to announce that the Plaintiff, through its lawyers has served the Writ of Summons dated 24 October 2012 on the Defendants, at the registered addresses of ADSB (a major subsidiary of PETONE) and PETONE respectively on 31 October 2012. The Writ of Summons arose from an allegation of default in payment of all amounts due and owing to the Plaintiff in respect of the a term loan facility (“Term Loan”) granted by RHB Bank (L) Ltd, the lender of the Term Loan, to the 1st Defendant, by the following parties: (a) 1st Defendant, as the borrower; and (b) 2nd Defendant, 3rd Defendant and 4th Defendant, as the guarantors. Pursuant to the above and the Claim, the Plaintiff is now claiming against the Defendants and each of them for the following: (a) USD24,843,933.67 (inclusive of the principal sum of USD23,893,694.74) as at 27 September 2012 with interest thereon at the rate of 2.25% per annum above the Lender’s cost of funds and an additional late payment interest of 1% per annum on all overdue amounts, with monthly rests from 28 September 2012 to date of full payment (“Sum of Claim”); and The Board of PETONE is of the opinion that the Writ of Summons and the Claim would not have any operational impact on the 1st Defendant and/or PETONE and its subsidiaries (“Group”) and if the Claim succeeds, there is no other financial impact of the Claim on the Group other than the Sum of Claim and the Costs. The expected losses arising from the Claim, should it be successfully made against the 1st Defendant and the 4th Defendant, will be up to the Sum of Claim and the Costs. The Defendants are currently seeking legal advice with regards to the above Writ of Summons and the Claim.
