Description: PELIKAN INTERNATIONAL CORPORATION BERHAD ("PELIKAN" or "Company")

Proposed disposal by Herlitz PBS Aktiengesellschaft papier-,B�ro-Und Schreibwaren ("Herlitz PBS" or "Seller"), a 100% subsidiary of Herlitz Aktiengesellschaft ("Herlitz AG") of the following:-

(a) 650,000 ordinary shares of EUR1.00 each in Falken Office Products ("FOP") representing 100% of the equity interest in FOP ("Proposed Disposal of FOP");
(b) 1,681,835 ordinary shares of GBP1.00 each in Herlitz UK Limited ("Herlitz UK") representing 100% of the equity interest in Herlitz UK ("Proposed Disposal of Herlitz UK"); and
(c) 999 ordinary shares of RON10.00 each in Delmet Prod Srl ("Delmet") representing 99.9% of the equity interest in Delmet ("Proposed Disposal of Delmet 1");

to Biella Deutschland Gmbh ("Biella"); and

(d) 1 ordinary share of RON10.00 each in Delmet representing 0.1% of the equity interest in Delmet to Donau-Design GmbH ("Donau") ("Proposed Disposal of Delmet 2");

for an aggregate cash consideration of EUR22,229,000.

(the Proposed Disposal of FOP, Proposed Disposal of Herlitz UK, Proposed Disposal of Delmet 1 and Proposed Disposal of Delmet 2 shall collectively be referred to as "Proposed Disposals")
