Reference is made to the Company’s announcements dated 1 December 2014, 5 December 2014, 18 December 2014 and 14 January 2015 in relation to the Bonus Issue of Warrants.
On behalf of the Board, Affin Hwang Investment Bank Berhad (“Affin Hwang IB”) wishes to announce that the exercise price of the Warrants to be issued pursuant to the Bonus Issue of Warrants has been fixed at RM0.55 per Warrant, after taking into consideration the following:
(i) the historical price movement of CAB Shares;
(ii) the future earnings potential of CAB and its subsidiaries;
(iii) the par value of the CAB Shares of RM0.50 each; and
(iv) the five (5)-day VWAP of the CAB Shares prior to the price-fixing date.
The exercise price represents a discount of 49.60% to the 5-day VWAP of CAB Shares up to and including 15 January 2015, being the market day immediately preceding the Price-Fixing Date, of approximately RM1.0913.
In addition, Affin Hwang IB is pleased to announce that the Company has on even date executed the deed poll constituting the Warrants to be issued pursuant to the Bonus Issue of Warrants.
The Bonus Issue of Warrants will entail the issuance of up to 65,889,550 Warrants.
