We refer to our announcements dated 28 October 2014, 31 October 2014 and 5 December 2014 respectively in respect of the Joint Venture Agreement dated 28 October 2014 entered into between Smartag International Inc. ("SII"), US, a 94.01% owned subsidiary of SMTRACK with Mr Michael Maragh ("Mr Maragh") and Mr Marc Thomas ("Mr Thomas") ("Proposed Joint Venture") whereupon, upon satisfactory completion of the due diligence by SMTRACK, Mr Maragh and Mr Thomas will transfer 100% and 75% of their shares in MRH Capital Inc. and California Bottling Company Inc. respectively in a share swap agreement in exchange for a total of 40 million new shares in SII. The Company wishes to announce that the Proposed Joint Venture has been terminated due to unsatisfactory due diligence findings. This announcement is dated 14 January 2015.
