On behalf of the board of directors of Chin Well ("Board"), RHB Investment Bank Berhad ("RHBIB") is pleased to announce that the Company had, on 5 November 2014, entered into a conditional share purchase agreement ("SPA") with Chen Yin-Liang and Chua Wei Feng (collectively, the "Vendors") for the proposed acquisition by Chin Well of two (2) ordinary shares of United States of America Dollar ("USD")1.00 each in Asia Angel ("Asia Angel Share(s)") ("Sale Shares"), representing 100% of the issued and paid up share capital of Asia Angel for a total purchase consideration of RM47,459,617 ("Purchase Consideration") to be fully satisfied via a combination of the issuance of 27,000,000 ordinary shares of RM0.50 each in Chin Well ("Chin Well Share(s)" or "Share(s)") ("Consideration Share(s)") at the issue price of RM1.45 per Consideration Share and the balance via cash amounting to RM8,309,617 ("Cash Consideration") ("Proposed Acquisition").
