(Company No. 200675-U) (“THA”), which in turn is the subsidiary of the Company, had on November 1, 2014 commenced their respective members' voluntary winding-up (“Winding-Up”):- (a) Aluta Metal Sdn. Bhd. (Company No. 327616-X) (“AMSB”); and (b) Better Technology Sdn. Bhd. (Company No. 462455-V) (“BTSB”). 1. Information of AMSB AMSB is a wholly-owned subsidiary of THA. AMSB is a dormant company incorporated in Malaysia. The authorised share capital of AMSB is RM500,000.00 comprising of 500,000 ordinary shares of RM1.00 each of which RM250,000.00 comprising 250,000 ordinary shares of RM1.00 have been issued and fully paid-up. 2. Information of BTSB BTSB is a wholly-owned subsidiary of THA. BTSB is a company incorporated in Malaysia. BTSB was principally engaged as manufacture of aluminium products for household fittings. The authorised share capital of BTSB is RM5,000,000.00 comprising of 5,000,000 ordinary shares of RM1.00 each of which RM2,750,000.00 comprising 2,750,000 ordinary shares of RM1.00 have been issued and fully paid-up. 3. Appointment of Liquidator Ms. Ong Tze-En has been appointed as the Liquidator for both AMSB and BTSB for the purpose of the Winding-Up. 4. Rationale for the Winding-Up AMSB was inactive since December 31, 2010 and BTSB had ceased its operation since November 30, 2013, both subsidiaries have no intention of carrying on business in the future. 5. Financial or Operational Effect of the Winding-Up The Winding-Up will not have any material effect on the net assets per share, earnings per share and gearing as well as the share capital and substantial shareholders’ shareholding of THR for the financial year ending December 31, 2014. 6. Directors’ and Major Shareholders interests None of the Directors, major shareholders and persons connected with the Directors and major shareholders of the Company has any direct and indirect interest in the Winding-Up of AMSB and BTSB.
