We refer to the announcements made on 25 February 2014 and 22 April 2014 on the above-mentioned subject. Further to the Company’s announcement made on 22 April 2014, the Board of Directors (“Board”) of VCB wishes to announce that it is continuing the process of convening an Extraordinary General Meeting of the shareholders of VCB to vote on the said Proposed Delisting. The Company wishes to announce that Messrs Crowe Horwath has been appointed on 26 May 2014 as Special Auditors to conduct a special audit on certain payments made by a subsidiary of Compugates for advisory services during the financial year ended 31 December 2013. The circumstances leading to the appointment of Messrs Crowe Horwath is Messrs Baker Tilly Monteiro Heng, the External Auditors have qualified their Auditors' Report in the Audited Financial Statements for the year ended 31 December 2013 in respect of the payment of professional fees for advisory support services. In view of the qualified opinion by the External Auditors, the Audit Committee has deliberated and decided as a proactive measure to appoint Messrs Crowe Horwath to assist the Board to conduct an additional review of the transaction. And thereafter following the findings of Messrs Crowe Horwath, to further deliberate and decide on the appropriate course of action. The scope of work by Messrs Crowe Horwath shall include the review of transaction involving professional fees paid in relation to advisory support services for work done and proposed projects which will be directed towards specific transactions and related accounting entries with the objectives to ascertain whether there were any unusual cash payments made and to ascertain whether the contract for services rendered or to be rendered is valid and is accounted for correctly. Procedures to be performed by Special Auditors are to obtain the necessary evidence, to review all available documents and to conduct interviews with the management of the Company and any other personnel. The special audit will commence on 27 May 2014 and is expected to be completed within 4 weeks from the date of commencement. Further announcement on the development of the above matter will be made to Bursa Malaysia Securities Berhad in due course. This announcement is dated 26 May 2014. | |
