Pursuant to Paragraph 9.19(23) of the Bursa Malaysia Securities Berhad Main Market Listing Requirements, YTL Corporation Berhad (“YTL Corp” or “the Company”) wishes to announce that Batu Tiga Quarry Sdn Bhd (“Batu Tiga Quarry”), a wholly-owned subsidiary of YTL Cement Berhad which in turn is a subsidiary of YTL Corp, has acquired and subscribed for 51 ordinary shares of RM1.00 each representing 51% of the issued and paid-up capital of Solaris Concept Sdn Bhd (“Solaris Concept”), at par value of RM1.00 per share in cash ("Acquisition"). As a result of the Acquisition, Solaris Concept became a subsidiary of Batu Tiga Quarry and indirect subsidiary of YTL Corp. Concurrently with the Acquisition, Solaris Concept acquired and subscribed for 7 ordinary shares of RM1.00 each representing 70% of the issued and paid-up capital of Oasis Vision Sdn Bhd (“Oasis Vision”), at par value of RM1.00 per share in cash. As a result, Oasis Vision became an indirect subsidiary of YTL Corp. Solaris Concept and Oasis Vision were incorporated on 7 April 2014 with its present authorised share capital of RM1,000,000.00 comprising 1,000,000 ordinary shares of RM1.00 each. Both Solaris Concept and Oasis Vision will be principally involved in the business of manufacturing, production, trading and delivery of building and construction materials and products to the building and construction industry. The Acquisition is not expected to have any material effect on the earnings, gearing and net assets of YTL Corp Group for the current financial year. None of the Directors or major shareholders of the Company or persons connected to them has any interest, direct or indirect in the Acquisition. | |
