Description	DAMANSARA REALTY BERHAD – (“DBhd” or “The Company”) : - WINDING UP PETITION FROM CHEAH MING YEW
The Board wishes to announce that a subsidiary Company of DBhd, Healthcare Technical Services Sdn Bhd (“HTS”), a 70% owned subsidiary of the Company, had on 28 April 2014 been served with a winding-up petition from Cheah Ming Yew (T/A DC David Architect) (“the Petitioner”). The Petitioner was engaged by HTS as the Architectural Consultant for a Proposed Development on part of Lot No. PTD 104984 within Taman Damansara Aliff, Johor Bahru for KFC Holdings (Malaysia) Bhd (“the Project”). The details of the litigation are as follows :- a. The Winding-up Petition dated 18 April 2014 was filed in the Kuala Lumpur High Court as Winding-up No. 22NCC-323-04/2014 and was served on HTS on 28 April 2014. The Petitioner claims amounted to RM63,604.27. b. The matter has been fixed for case management on 7 May 2014 and the hearing of the petition has been fixed on 11 July 2014. c. The details of the circumstances leading to the filing of the winding up petition ("Proceedings") are as follows :- i. The Petitioner had issued an Invoice for Claim No. 1 – 6 dated 20 July 2013 for a sum of RM134,094.27 to HTS for services rendered by the Petitioner in respect of the Project. HTS has paid a sum of RM70,490.00 leaving the Outstanding Balance of RM63,604.27. ii. The Petitioner had on 8 January 2014 issued Notice Pursuant to Section 218 of the Companies Act (“Winding-Up Notice”) asking payment for the Outstanding Balance. iii. Winding-Up Petition was served on HTS on 28 April 2014. d. The Outstanding Balance is not disputed and HTS shall make full settlement before the case management date on 7 May 2014. Upon settlement, the Company’s solicitors shall file an application to the High Court for the Winding-Up Petition to be dismissed. e. Based of financial result ended 31 March 2014, HTS contributed a total revenue of RM8.9 million to DBhd’s Group. f. The Proceedings is not expected to have any major financial or operational impact on the Group. There is no expected loss arising from the Proceedings. This announcement is dated 5 May 2014.
