Description	RESIGNATION OF AUDITORS
The Board of Directors of Edaran Berhad (“Edaran” or the “Company”) wishes to announce that the auditors, Messrs. McMillan Woods Mea (AF 1995) had, through their letter dated 31 March 2014 which the Company received on 2 April 2014 given notice in writing to the Company of their intention to resign as the auditors of the Company. Messrs. McMillan Woods Mea is resigning as auditors of the Company as they have decided not to renew their registration with the Audit Oversight Board (“AOB”) when it expires. Without the AOB registration, Messrs. McMillan Woods Mea would not be able to undertake the audit of Edaran. The Board of Directors also wishes to inform that the Company is not aware of any matters that need to be brought to the attention of the shareholders. Pursuant to Section 172(15) of the Companies Act, 1965, their resignation will only take effect on the appointment of new auditors. The proposed appointment of new auditors is subject to and conditional upon approval being obtained from the shareholders at an Extraordinary General Meeting (EGM) to be convened. A circular containing the details and information of the proposed appointment of new auditors together with the Notice of EGM will be despatched to the shareholders of the Company in due course.
