Reference to made to Digistar's announcement dated 25 April 2014 in relation to the MOU, the Board of Digistar wishes to announce that its wholly-owned subsidiary, Digistar Holdings Sdn Bhd (“DHSB”) had entered into a MOU with Malaysian Government represented by Royal Malaysian Police Force (“RMPF”) on 25 April 2014. DHSB will have a collective partnership with RMPF to form SAFECAM Partnership with the objective to reduce the public crime rate to ensure the success of the National Key Result Areas ("NKRA"). Both parties agree on the following matters under the collaboration of SAFECAM partnership: 1. Royal Malaysian Police Force: - Patrolling around the SAFECAM area; and - Utilise teleconferencing or dialogue with DHSB to discuss on the essential issues to ensure the success of the partnership. 2. DHSB: - Prepare camera equipment / closed circuit television (CCTV) under its own cost as set out by RMPF; - Prepare accurate and timely access on the visual videos as evidence upon the request of the Police force; - Fulfil the minimum requirement in aspect of time, date and stamp the minimum storage period of 30 days, and resolution (420 TVL); and - Update the list of cameras for presentation purposes. There is no expiry date to the MOU. This annoucement is dated 29 April 2014. |

1. Introduction Pursuant to Rule 10.09(1)(a) of the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad ("Bursa Securities") the Board of Directors of Ingenuity Consolidated Berhad ("the Company" or "ICB") wishes to announce that the wholly-owned sub-subsidiary of ICB namely, Ingens Sdn. Bhd. has entered into Recurrent Related Party Transactions ("RRPT") for the period from 21st November 2013 to 28th April 2014 with Takaso Trading Sdn. Bhd., the company connected with the Director/major shareholder of ICB, Mr. Chin Boon Long. 2. Details of RRPT Please refer to Appendix 1 attached. 3. Rationale The RRPT are necessary for the day to day operations of the Group and are intended to meet the business needs on the best possible terms. The RRPT are made in the ordinary course of business at arms' length and on normal commercial terms which are not more favourable to the related parties than those generally available to the public. The transactions are not detrimental to the interest of the minority shareholders. 4. Financial Effects of the RRPT The RRPT will not have any material effect on the earnings per share, gearing and net assets per share of the ICB Group for the financial year ending 31st March 2015. 5. Substantial Shareholders' Shareholding The RRPT will not have any effect on the share capital and substantial shareholders' shareholdings of ICB. 6. Directors' and Major Shareholders' Interest Save as disclosed in Appendix 1 attached, none of the other directors and / or major shareholders and / or persons connected with them has any interest, direct or indirect in the RRPT. Accordingly, Mr. Chin Boon Long has abstained and will continue to abstain from all deliberations and voting at board meetings in respect of the RRPT. Mr. Chin Boon Long and persons connected to him will abstain from voting on the RRPT at the forthcoming annual geenral meeting in respect of their direct and/or indirect shareholdings in ICB. 7. Statement by Audit Committee The Audit Committee having considered the rationale for the RRPT and all aspects of the RRPT, was of the view that the RRPT is in the best interests of the Group, fair, reasonable and on normal commercial terms and not detrimental to the interests of the minority shareholders. 8. Statement by Board of Directors The Board of Directors, having taken into consideration of all aspects of the RRPT, is in the opinion that the RRPT are in the best interest of ICB Group. 9. Approved Required The Company would seek for shareholders' mandate on the RRPT at the forthcoming annual general meeting to be convened at a later date. This announcement is dated 29th April 2014. |

The Purchase Consideration is to be fully satisfied via a combination of RM10,0000,000 cash and issuance of 10,227,272 new OCK Shares at an issue price of RM1.10 per OCK Share ("Consideration Shares") to satisfy the remaining of the Purchase Consideration of RM11,250,000. In addition, on behalf of the Board, RHBIB wishes to announce that the Company proposes to undertake the following:- i. Establishment of an employees' share option scheme ("ESOS") of up to 10% of the issued and paid-up share capital of OCK; ii. Increase in authorised share capital of OCK from RM50,000,000 comprising 500,000,000 OCK Shares to RM100,000,000 comprising 1,000,000,000 OCK Shares; and iii.
