We refer to the 41st AGM of MPCORP held on 23 December 2013 and the articles published in the newspapers, namely, The Edge Financial Daily, Nanyang Siang Pau, Sin Chew Jit Poh and The New Straits Times on 24 December 2013 respectively. The Board of Directors (the “Board”) of MPCORP wishes to announce that the Directors are not aware of any circumstances reported in the audited financial statements of the Company and the Group for the financial year ended 30 June 2013 that is misleading to the shareholders of the Company. The allegations made by the shareholders, Mr Wong Seng Huat and Mr Yap Chee Keong at the 41st AGM of the Company with regard to the Company’s financial irregularities are untrue. The Chairman of the Company, Dato’ Seri Syed Hussien bin Abdul Kadir has also observed the request of forensic audit by a shareholder. The Chairman and the Board viewed that the request is made without any basis and agreed to discuss the matter at the next Board meeting. However, the Chairman’s statement was misquoted in the articles published in the newspapers. The press did not confirm the statement with the Chairman or the Company before the article was released. The independent external auditors and the then internal auditors have not highlighted any financial irregularities of the Company for the past 6 years. The Board and shareholders of the Company are satisfied with the quality of the independent external auditors of the Company, Messrs BDO. In addition, the shareholders of MPCORP have approved all the resolutions set out in the Notice convening the 41st AGM contained in the Annual Report 2013 of the Company including the re-appointment of Messrs BDO as the Auditors of the Company by show of hands. To promote greater transparency in conducting the AGM, the Board has extended invitation to Bursa Malaysia Securities Berhad (“Bursa Securities”) to attend the 41st AGM as observers. Going forward, the Board may continue to invite Bursa Securities to attend the AGM of the Company as observers. The Company wishes to clarify that officials from the Securities Commission were not present at the 41st AGM of the Company as reported in the articles. The Company is seeking legal advices on the untruthful allegations and further announcement will be made as and when appropriate. This announcement is dated 24 December 2013. |

Further to the announcement made by the Company on 23 December 2013, the Board wishes to provide additional information in relation to the Recurrent Related Party Transactions of a revenue or trading nature as follows:- 1. The payment of office rental by Active World Pte Ltd and Jetbest Enterprise Pte Ltd to Long Bow Manufacturing (S) Pte Ltd for renting of the office space in Singapore is on monthly basis. 2. The Audit Committee has reviewed the Recurrent Related Party Transactions of a revenue or trading nature as detailed in the Company’s announcement dated 23 December 2013 (“RRPT”), and having considered all aspects of the RRPT, the Audit Committee was of the view that the RRPT is established under normal commercial terms and are in the best interest of the Company and not to the detriment of the minority shareholders. The Board also wishes to clarify that the announcement dated 23 December 2013 should be referred to as a new announcement instead of an amended announcement and the details of the announcement remains unchanged. This announcement is dated 24 December 2013.
