For consistency, the abbreviation and definition used throughout this announcement are the same as those previously defined in the Earlier Announcements unless otherwise stated.

        The Company wishes to update on the status of compliance to the conditions stipulated in the letter of approval on “Kebenaran Merancang” from MBSA dated 7 June 2012:-

        Status of Compliance

        (1)

        Landlord to comply with the relevant terms and conditions as set out by the Jabatan Teknikal Dalaman and Jabatan Teknikal Luaran.

        Complied and to be further complied. Subsequent to the approval from MBSA vide its letter dated 15 May 2013, the landlord has submitted letters of appeal to Jabatan Bangunan, MBSA dated 29 August 2013 and 12 November 2013 to waive certain approval condition imposed by Jabatan Bangunan, MBSA.

        Landlord to settle the contribution payment to Kumpulan Wang Perkhidmatan Kemajuan (ISF) amounting to RM35,185

        Complied. The contribution payment to Kumpulan Wang Perkhidmatan Kemajuan (ISF) was made on 5 June 2013.

        Complied and to be further complied. Landlord has paid the assessment for the period from January 2013 to June 2013 based on the industrial rate of 7.5%.

        The Company also wishes to announce that the landlord has obtained the approvals from Jabatan Taman dan Rekreasi, MBSA on 16 July 2013 and Jabatan Kejuruteraan, MBSA on 5 August 2013 pertaining to compliance of the condition as mentioned in item (1) above.

        The landlord has submitted the final plan for amalgamation of land titles to Pejabat Tanah on 22 July 2013. Upon receipt of all relevant approvals, the landlord would carry out the necessary construction to rectify all unapproved structures. Thereafter the landlord would arrange for inspection by all the relevant authorities in order for the relevant approvals to be issued.

        1. INTRODUCTION
            We refer to our announcement dated 17 December 2013 in relation to the successful bidding by Sunway City (Penang) Sdn Bhd (“SCP”), a wholly-owned subsidiary of Sunway City Sdn Bhd which in turn is wholly-owned by Sunway for the following 4 parcels of freehold land held under the following titles together with the existing buildings, plant nurseries and other structures erected thereon from C. H. Williams Talhar & Wong, the Property Agent of Luxor Precision Sdn Bhd (“LPSB”) for a total purchase consideration of RM267,418,000/- (“Purchase Price”):

            a) Lot No. 1385, Tempat Relau, Mukim 13, Daerah Timor Laut, Pulau Pinang held under Geran Mukim No. 264 measuring approximately 22,586.4816 square metres;
            b) Lot No. 2102, Tempat Paya Terubong, Mukim 13, Daerah Timor Laut, Pulau Pinang held under Geran Mukim No. 256 measuring approximately 17,148.5269 square metres;
            c) Lot No. 3224, Mukim 13, Daerah Timor Laut, Pulau Pinang held under Geran No. 3865 measuring approximately 55,195.5686 square metres; and
            d) Lot No. 7629, Mukim 13, Daerah Timor Laut, Pulau Pinang held under Geran No. 39680 measuring approximately 4,048 square metres.

            (collectively, the “Land”).

            The Board of Directors of Sunway is pleased to announce that SCP has on 27 December 2013, entered into a Sale and Purchase Agreement (“SPA”) with LPSB to acquire the Land.

        2. SALIENT TERMS OF THE SPA
            Pursuant to the SPA, SCP has acquired the Land without vacant possession and on an “as is where is” basis including the existence of any right of way or any structures or squatters thereon subject to all conditions of title whether express or implied, affecting the Land but otherwise free from all encumbrances and subject further to any existing tenancies affecting the Land, from LPSB at the Purchase Price.

            The Purchase Price shall be satisfied by SCP in the following manner:-

            a) RM26,741,800/- being 10% deposit of the Purchase Price upon execution of the SPA comprising:-

              i) Tender fee of RM2,674,180/- paid during submission of the tender; and
              ii) Balance deposit of RM24,067,620/-; and
            b) RM240,676,200/- being balance of 90% of the Purchase Price on or before the completion date of the SPA.



        3. DOCUMENTS AVAILABLE FOR INSPECTION

        The SPA is available for inspection at the registered office of Sunway at Level 16, Menara Sunway, Jalan Lagoon Timur, Bandar Sunway, 47500 Subang Jaya, Selangor Darul Ehsan during normal business hours (9.00 a.m. to 6.00 p.m.) from Monday to Friday (except public holidays) for a period of 3 months from the date of this announcement.

        Proposed surrender of two (2) parcels of land owned by Mentiga identified as HS(D) 145 PT 1449 (now known as PN 2490 Lot 1449) and HS(D) 3364 PT 2204 located at Mukim Langgar, District of Pekan, Pahang Darul Makmur (“Pekan Land”) to the State Government of Pahang, in accordance with Section 197 of the National Land Code, in consideration of which the State Government of Pahang will compensate Mentiga with four (4) parcels of land with an aggregate land size of 13,112.00 acres valued not less than RM20.00 million (“Proposed Surrender of Pekan Land”)
        The terms used herein shall, unless the context otherwise stated, bear the same meaning as those defined in the announcements dated 26 August 2011, 30 September 2011, 4 October 2011, 5 October 2011, 26 June 2012, 31 December 2012 and 28 June 2013 in relation to the Proposed Surrender of Pekan Land.
        On behalf of the Board of Directors of Mentiga (“Board”), RHB Investment Bank Berhad (“RHBIB”) wishes to announce that as at the date of this announcement, some of the requisite approvals for the alienation of the Consideration Land in favour of Mentiga by the Director of Land and Minerals of Pahang are still pending. Following thereto, the Proposed Surrender of Pekan Land is expected to be completed by the fourth quarter of calendar year 2014 as opposed to the fourth quarter of calendar year 2013 which was announced on 28 June 2013.

        The current status of the Consideration Land is as follow:

        (a) Ulu Lepar Land I, Ulu Lepar Land II and Replacement Land
            On 27 September 2012 and 15 October 2012, the Land Administrator had approved the alienation of Ulu Lepar Land I and Ulu Lepar Land II of 4,165.00 acres and 1,604.71 acres respectively to Mentiga for agriculture purposes. In relation thereto, the Land Administrator had, on 29 October 2013 and 9 September 2013, issued the land titles for the Ulu Lepar Land I and Ulu Lepar Land II of 4,165.00 acres and 1,604.71 acres respectively in favour of Mentiga.

            For the Replacement Land, the Company is still pending the approvals from the Land Administrator for the replacement, alienation of the Replacement Land to Mentiga and the issuance of the land title in favour of Mentiga.
        (b) Penor Land
            The Land Administrator had, on 21 May 2013, issued the land title for the Penor Land of 2,631.00 acres in favour of Mentiga.

        (c) Hulu Cheka Land
            The Land Administrator had, vide its letter dated 22 January 2013, approved the removal and upliftment of the Malay reservation restriction and the alienation of the Hulu Cheka Land of 3,881.00 acres to Mentiga for the cultivation of oil palm. The Company is still awaiting the approvals from the Forestry Department Peninsular Malaysia and the Land Administrator for the issuance of the land title in favour of Mentiga.
        The Company, upon obtaining the abovesaid letter(s) or any further information thereto in relation to the completion of the Proposed Surrender of Pekan Land will endeavor to make the relevant announcement(s).
