2013) approved the application for proposed variations to Clauses 8.34 and 8.35
of the Guidelines on Real Estate Investment Trusts. The approval by the SC is subject to Boustead
REIT Managers Sdn Bhd obtaining prior approval from the non-interested
unitholders of Boustead REIT in relation to the: (i) proposed amendments to Boustead REIT’s trust
deed, to allow for the following: a) the implementation of the proposed selective
unit redemption exercise; and b) the conversion of Boustead REIT to a private
property trust with Boustead Plantations Berhad (“BPB”) being its sole beneficiary; (ii) proposed selective unit redemption exercise,
involving the redemption of all undivided interest in Boustead REIT (“Units”) held by Boustead REIT’s
unitholders (save and except for the Units that are held by BPB) at the price of
