Description | MAH SING GROUP BERHAD (“MAH SING” OR “COMPANY”) SUBSCRIPTION OF SHARES BY MAH SING IN CONVENTION CITY DEVELOPMENT SDN BHD |
1. Introduction The Board of Directors of Mah Sing (“Board”) wishes to announce that Mah Sing had on 27 May 2013 subscribed 1,632,000 ordinary shares of RM1.00 each, representing 51% of the total issued and paid-up share capital of Convention City Development Sdn Bhd (“Convention City”), for cash consideration of RM1,632,000 (“Subscription”). Diverse Capital Sdn Bhd (“Diverse Capital”) holds 1,568,000 ordinary shares of RM1.00 each, representing 49% of the total issued and paid-up share capital of Convention City. Pursuant to the Subscription, Convention City becomes a 51%-owned subsidiary of Mah Sing. The total issued and paid-up share capital of Convention City after the subscription of shares by the parties is RM3,200,000 comprising 3,200,000 ordinary shares of RM1.00 each. The Board wishes to further announce that Mah Sing had on 27 May 2013 entered into a shareholders’ agreement (“Shareholders’ Agreement”) with Diverse Capital to regulate their relationship as shareholders of Convention City to undertake a potential development project in Kota Kinabalu, Negeri Sabah (“Proposed Development”). Further details of the Proposed Development will be made in compliance with the Main Market Listing Requirements of Bursa Malaysia Securities Berhad upon signing of formal agreement(s). 2. Information on the parties 2.1 Information on Diverse Capital Diverse Capital is a private limited company incorporated in Malaysia on 22 April 2013 under the Companies Act, 1965. The present authorised share capital of Diverse Capital is RM400,000 comprising 400,000 ordinary shares of RM1.00 each of which 2 ordinary shares of RM1.00 each have been issued and fully paid-up. The principal activity of Diverse Capital is investment holding. 2.2 Information on Convention City Convention City is a private limited company incorporated in Malaysia on 4 September 2012 under the Companies Act, 1965. The present authorised share capital of Convention City is RM5,000,000 comprising 5,000,000 ordinary shares of RM1.00 each. The present issued and paid-up share capital of Convention City after the subscription of shares by the parties is RM3,200,000 comprising 3,200,000 ordinary shares of RM1.00 each. Convention City is presently dormant with intended business of property development. 3. Salient Terms of the Shareholders’ Agreement The salient terms of the Shareholders’ Agreement include, amongst other, the following: (i) The shareholding structure of Mah Sing and Diverse Capital in Convention City shall be maintained at all times in the proportion of 51%:49% respectively; and (ii) The number of directors of Convention City shall be not more than 5. Mah Sing and Diverse Capital shall have the power to appoint 3 and 2 board representatives respectively in Convention City and to remove and substitute any of their nominees so appointed. 4. DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTEREST Insofar as the Directors are aware, none of the Directors and/or major shareholders of Mah Sing and/or persons connected to them have any interests, direct or indirect, in the Subscription.
