Our Announcements dated 9 October 2012 and 21 February 2013 are referred. Tenaga Nasional Berhad ("TNB") wishes to announce that pursuant to the announcement made by Suruhanjaya Tenaga on 9 October 2012 on the Track 2 successful bidders, TNB has today signed supplementary power purchase agreements ("Supplementary Agreements") and new power purchase agreements ("New Agreements") with Genting Sanyen Power Sdn. Bhd. ("GSP"), Segari Energy Ventures Sdn. Bhd. ("SEV") and TNB Pasir Gudang Energy Sdn. Bhd. ("TPGE") (formerly known as Sultan Iskandar Power Station). The above-named independent power producers are the successful bidders that Suruhanjaya Tenaga has extended pursuant to the Track 2 Bid. The Track 2 is a restricted tender organised by Suruhanjaya Tenaga for the renewal of the operating licenses of the first generation Independent Power Producers ("IPP") and TNB plants. Suruhanjaya Tenaga has awarded the extensions to the above-named IPPs to secure generation capacities to meet growing demand starting 2016 at the lowest energy cost and with minimum completion risks. The executed Supplementary Agreements is to provide for the reduced rates offered by the successful bidders. The reduced rates in the Supplementary Agreements will be effective beginning 1 March 2013 until the expiry of the bidders’ respective current power purchase agreement or service level agreement in the case of TPGE. Meanwhile the New Agreements will provide for the extension periods of 10 years for GSP and SEV and 5 years for TPGE. The signing of the Supplementary Agreements and New Agreements will not have any effect on the issued and paid-up capital of TNB and it will not have any material effect on the earnings and net assets of TNB Group or on the shareholding of the substantial shareholders of TNB. None of the Directors or Major Shareholders of TNB or persons connected to the Directors or Major Shareholders of TNB has interest, direct or indirect, on the said matter.
