Query Letter content: We refer to your Company's announcement dated 17 November 2011 in respect of
the aforesaid matter.
In this connection, kindly furnish Bursa Securities with the following
additional information for public release:-
1. The details of the working capital for which the proceeds from the Proposed
Private Placement will be utilized, and the breakdown of the proceeds that will
be utilised for each component of the working capital.
2. The basis of determining the discount of 34.43% to the theoretical ex-all
price based on the 5-day VWAP of Cybertowers Berhad ("Cybertowers") shares, for
the conversion price of RM0.04 per ICULS.
3. The financial commitment by Cybertowers to diversify into the new business
of providing hosting services and cloud computing services, and sources of
funding.
4. Whether Cybertowers possesses the requisite expertise/knowledge to undertake
the new business. If not, to explain how it proposes to acquire these
expertise/knowledge.
5. Justification for embarking on the Proposed Private Placement rather than
other available options.
6. The rationale for diversifying into providing hosting services and cloud
computing services rather than other sectors/areas of the IT industry.
7. The effect of the Proposed Diversification on the earnings per share of the
Cybertowers Berhad group for the financial year ending 31 December 2012.
