Subject: Commencement of preliminary negotiation for disposal of shares in a subsidiary
Contents: We wish to announce that Bank Negara Malaysia ("BNM") has informed, via its letter dated 5 January 2011, that it has no objection in principle for Novimax (M) Sdn Bhd ("Novimax") to commence preliminary negotiation with Liberty International Holdings Inc., a company in the United States of America, which has expressed interest to acquire Novimax's equity interest in MUI Continental Insurance Berhad ("MCI"), subject to both parties concluding the negotiation within 6 months from the date of approval ("Proposed Disposal"). MCI is a 52.21% owned subsidiary of Novimax, which is in turn a wholly owned subsidiary of Malayan United Industries Berhad.
The approval in principle as stated above is not to be taken as approval for the Proposed Disposal. The relevant parties would be required to seek prior approval of the Minister of Finance, with the recommendation of BNM before entering into any agreement to effect the Proposed Disposal.
