MATURITY OF ZERO COUPON REDEEMABLE CONVERTIBLE SECURED LOAN STOCKS 2002/2010 ("RCSLS")
Contents: Further to our announcement dated 8 October 2010, 3 November 2010 and 22 November 2010 respectively in relation to the RCSLS, the Board of Director of SMI is pleased to announce that the RCSLS have matured today and will be delisted with effect from 9.00 a.m. on Friday, 24 December 2010.
Accordingly, pursuant to the Special Resolutions passed during the RCSLS holders' meeting convened on 3 November 2010, upon maturity of the RCSLS:
(i) SMI will carry out a partial cash redemption of RM35,765,313, representing RM37.00 for every RM100.00 RCSLS held based on the outstanding RCSLS of RM96,663,049 as at 16 December 2010 (Books Closure Date of RCSLS). The said partial cash redemption which will be effected on or before 31 December 2010, by way of cheque payment and will be delivered to the RCSLS holders whose names appear in the Record of Depositors on 16 December 2010;
(ii) The holders of the balance outstanding RCSLS of RM60,897,736 nominal value of RCSLS (after netting off the abovesaid partial cash redemption) shall be entitled for the remaining cash redemption of up to approximately RM22.47 million and the Stellar Route; and
(iii) Pursuant to the Stellar Route, the outstanding of approximately RM38.5million nominal value of RCSLS will be deemed fully settled via a set off, whereby SMI has relinquished its entire stake in Stellar Acres Sdn Bhd, a wholly-owned subsidiary of SMI ("Stellar") to My Premier Trustee (Malaysia) Berhad (a trust company which was identified and approved by the RCSLS holders) at a nominal consideration of RM1.00 only. Accordingly, Stellar has ceased to be a subsidiary of SMI.
