Contents: We refer to the Company's announcement made on 29 March 2010 pertaining to the above Proposed Acquisition and wish to announce that Intrapuri Sdn. Bhd. ("ISB") has vide their letter of termination dated 14 June 2010, received by Bolton LYL Sdn. Bhd. ("Bolton LYL") on 21 June 2010, informed that they wish to terminate the Sale and Purchase Agreement ("SPA") entered into between the respective parties.
Pursuant to the above letter of termination, ISB is in breach of and has defaulted under the terms and conditions of the SPA. As such, Bolton LYL has vide their letter dated 21 June 2010 informed ISB that Bolton LYL shall exercise its rights to terminate the SPA and demand for liquidated damages under Clause 16 of the SPA.
The termination will not have any material effect on the earnings per share, net assets per share, gearing, share capital and substantial shareholders' shareholdings of Bolton for the financial year ending 31 March 2011.
