Texchem Resources Bhd. ("TRB") is pleased to announce that at the Forty-First Annual General Meeting ("41st AGM") held today, 30 April 2015, the shareholders of TRB had approved and passed all the Resolutions as set out in the Notice of the 41st AGM.  A copy of the Notice of the 41st AGM dated 8 April 2015 is attached herewith for reference.

We are also pleased to attach herewith the press release on the unaudited financial results for the First Quarter of 2015 which was released today.

The Board of Directors of Bonia wishes to inform that Bonia Italia Srl (“BIS”), its indirect subsidiary incorporated in Italy, has resolved on the voluntary liquidation of BIS pursuant to the Italian Civil Code.

BIS, a dormant entity, is a wholly-owned subsidiary of Daily Frontier Sdn Bhd, which in turn is a wholly-owned subsidiary of the Company. The cost of investment in BIS is EUR1.00.

The voluntary liquidation of BIS is part of Bonia’s continued initiative to eliminate unnecessary administrative costs in maintaining dormant subsidiaries. The voluntary liquidation is not expected to have any material effect on the earnings or net assets of the Bonia Group for the financial year ending 30 June 2015.

None of the Directors or major shareholders of the Company, or persons connected with them, has any interest, direct or indirect, in the voluntary liquidation of BIS and no approval of shareholders is required.

Reference is made to the announcement made on 4 March 2015 pertaining to the Sale and Purchase Agreement (“the SPA”) entered into between FITTERS Building Services Sdn Bhd (“FITTERS Building”) and GCP Tower Sdn Bhd (the “Vendor”) for the purpose of acquiring all that seventy (70) parcels of office lots, each held under an individual document of strata title, and 363 units of car park bays located on levels B1 and B2 of Plaza Pekeliling held under Geran 6851/M1/B1 and B2/1(B1-B2), Petak No. 1(B1-B2), Tingkat No. B1 and B2, Bangunan No. M1 (“the Property”) for a total consideration of RM28,280,000.00 (“the Proposed Acquisition”).

The Board of Directors of FITTERS is pleased to announce that the Vendor has on 30 April 2015 agreed to extend the period for FITTERS Building to procure the approval of the Economic Planning Unit of the Prime Minister’s Department for the acquisition of the Property from the Vendor (“Condition Precedent”) by twenty one (21) days from the expiry of the sixty (60) days from the date of the SPA.

Accordingly with immediate effect from the date hereof, the period to fulfil the Condition Precedent shall be extended for a further period up to 23 May 2015.

Further announcement on the development of the Proposed Acquisition will be made in due course.
