1. Deregistration of foreign subsidiaries incorporated in The Republic of South Africa The Board of Directors of TAE (“the Board”) wishes to announce that TA Investment Holdings South Africa Limited (“TA Investment Holdings”) and TA Antarabangsa Finance South Africa Limited (“TA Antarabangsa Finance”), both of which are wholly-owned foreign subsidiaries of the Company which have been dormant and inactive for many years, have been deregistered by the Commissioner of Companies & Intellectual Property Commission. TA Investment Holdings was incorporated on 10 November 1995 in The Republic of South Africa under the Companies Act, 1973. Its principal activity is investment holding. TA Antarabangsa Finance was incorporated on 24 January 1997 in The Republic of South Africa under the Companies Act, 1973. Its principal activities are to provide financial services and to hold investments. However, its operation of provision of financial services has ceased on 5 April 2002 and it has been dormant since then. 2. Striking off of foreign subsidiaries incorporated in the Democratic Socialist Republic of Sri Lanka The Board further announces that T A Development Lanka (Private) Limited (“T A Development Lanka”) and Indian Ocean Lanka (Private) Limited (“Indian Ocean Lanka”), both of which are wholly-owned foreign subsidiaries of the Company which have been dormant and inactive for many years, have been struck off from the register under section 487(3) of the Companies Act No. 17 of 1982 (“the Companies Act”) by the Registrar of Companies, Sri Lanka. T A Development Lanka was incorporated on 4 August 1994 in the Democratic Socialist Republic of Sri Lanka under the Companies Act as a private limited company. Its principal activity is property development. Indian Ocean Lanka was incorporated on 22 November 1995 in the Democratic Socialist Republic of Sri Lanka under the Companies Act as a private limited company. Its principal activity is investment holding. As TA Investment Holdings, TA Antarabangsa Finance, T A Development Lanka and Indian Ocean Lanka are dormant and inactive, their dissolution will have no material financial and operational effect on the Company. None of the Directors and Substantial Shareholders of the Company or persons connected with them has any interest, direct or indirect, in the aforesaid dissolution.
