Description	HO WAH GENTING BERHAD (“HWGB” OR “THE COMPANY”) - DISPOSAL OF 100% EQUITY INTEREST IN MARVEL THEME PARK CITY SDN BHD.
Pursuant to Paragraph 9.19(24) of Bursa Malaysia Securities Berhad’s Main Market Listing Requirements, the Board of Directors of HWGB wishes to announce that the Company had on 15 December 2014, disposed its entire 2 shares of RM1.00 each, representing 100% equity interest in Marvel Theme Park City Sdn Bhd (“MTPC”) to two (2) individuals, namely, Ms. Sit Lai Wan and Encik Mohd Najib Bin Ibrahim for a total cash consideration of RM2.00 only (“Proposed Disposal”). As a result of the Proposed Disposal, MTPC shall cease to be a subsidiary of HWGB. MTPC was incorporated on 6 September 2013 with an authorised share capital of RM100,000 comprising 100,000 ordinary shares of RM1.00 each, of which 2 ordinary shares of RM1.00 each have been issued and fully paid-up. MTPC is presently dormant. The Proposed Disposal will enable HWGB to reduce the administrative resources and cost in maintaining the dormant subsidiary. The Proposed Disposal is not expected to have any material effect on the earnings per share and net assets per share of HWGB, and it has no effect on HWGB’s share capital and substantial shareholders’ shareholding. None of the directors and/or the major shareholders of the Company and/or persons connected with them have any interest, direct or indirect, in the Proposed Disposal.
