This announcement should be read in conjunction with the
announcement dated 7 August 2014, 8 August 2014 and 18 September 2014 in
relation to the Proposed Acquisitions (“Announcements”).
All the terms and definitions referred to in this announcement unless otherwise
defined shall carry the same meaning as those in the Announcements.
Reference
is made to the previous announcement dated 18 September 2014. On behalf of the
Board, HLIB wishes to clarify that Bursa Securities had, vide its letter
dated 17 September 2014, approved the following:
(i) Extension
of time until 31 October 2016 to issue up to 3,500,000 new ordinary shares of RM1.00
each in YLI (“YLI Shares”) to Ahmad
Hadli at an issue price of RM1.00 per YLI Share pursuant to the Earn-Out
Incentive of up to RM3.5 million in conjunction with the Proposed HPSB
Acquisition, pursuant to Paragraph 6.62(1) of the Main Market Listing
Requirements (“Paragraph 6.62(1)”);
and
(ii) Extension
of time until 31 July 2020 to issue up to 3,000,000 new YLI Shares to Jalur
Cahaya at an issue price of RM1.00 per YLI Share as part of the MPipes Purchase
Consideration for the Proposed MPipes Acquisition pursuant to Paragraph
6.62(1), subject to the conditions stated in the previous announcement made on 18 September 2014.
