On behalf of the Board of Directors of OCK, RHB Investment Bank Berhad ("RHBIB") wishes to announce that Bursa Malaysia Securities Berhad ("Bursa Securities") had, vide its letter dated 30 July 2014 (received on 31 July 2014), resolved to approve the listing of and quotation for:- i. 10,227,272 OCK Shares to be issued at an issue price of RM1.10 per OCK Share pursuant to the Proposed Acquisition; ii. 176,053,636 Bonus Shares to be issued pursuant to the Proposed Bonus Issue; and iii. such number of new OCK Shares to be issued arising from the exercise of the options to be granted pursuant to the Proposed ESOS, representing up to 10% of the issued and paid-up share capital of OCK. The approval granted by Bursa Securities for the new OCK Shares arising from the Proposed Acquisition, Proposed Bonus Issue and Proposed ESOS are subject to the following conditions:- i. OCK and RHBIB must fully comply with the relevant provisions under the ACE Market Listing Requirements ("Listing Requirements") pertaining to the implementation of the Proposed Acquisition and Proposed Bonus Issue; ii. RHBIB is required to submit a confirmation to Bursa Securities of full compliance of the ESOS pursuant to Rule 6.44(1) of the Listing Requirements and stating the effective date of implementation; iii. OCK and RHBIB to inform Bursa Securities upon the completion of the Proposed Acquisition, Proposed Bonus Issue and Proposed ESOS; iv. OCK to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Acquisition, Proposed Bonus Issue and Proposed ESOS are completed; v. OCK and RHBIB to furnish Bursa Securities with a certified true copy of the resolutions passed by the shareholders in general meeting approving the Proposed Acquisition and Proposed ESOS; vi. OCK and RHBIB are required to make the relevant announcements pursuant to Rule 6.36(2)(a) & (b) and 6.36(4) of the Listing Requirements; vii. OCK is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of the ESOS, as at the end of each quarter together with a detailed computation of listing fees payable. | |

GuocoLand (Malaysia) Berhad (“GLM”)
writes to inform that, on 31 July 2014, PSJ had accepted a second offer from
SymLife to acquire the following additional shares in CESB: (i) 640,409
ordinary shares in CESB, representing 1.27% of the issued and paid-up ordinary
shares in CESB, for a cash consideration of RM640,409; and (ii) 2,791,869 CRPS in CESB, representing 1.60% of the issued and paid-up CRPS in CESB, for a cash consideration of RM4,466,990.40. (The acceptance by PSJ of the initial offer from SymLife to acquire additional shares in CESB as announced on 23 July 2014, together with the above proposals, shall collectively be referred to hereon as the “Proposed Acquisitions”.) Please refer to the attachment for further details on the Proposed Acquisitions.
