Description | ARBITRAL PROCEEDINGS BY PELABUHAN TANJUNG PELEPAS SDN BHD AGAINST PIONEER SMITH (M) SDN BHD AT THE KUALA LUMPUR REGIONAL CENTRE FOR ARBITRATION |
1. INTRODUCTION MMC Corporation Berhad (“MMC”) wishes to announce that its 70% owned subsidiary, Pelabuhan Tanjung Pelepas Sdn Bhd (“PTP”), has been notified by its solicitors, Messrs Tay & Partners, that the hearing of the arbitral proceedings initiated by PTP against Pioneer Smith (M) Sdn Bhd (“PSM”) at the Kuala Lumpur Regional Centre for Arbitration (“KLRCA”) has been fixed for the week commencing 6 May 2014. 2. BACKGROUND PTP, the claimant, is a private company limited by shares. PTP is in the business of constructing, operating, maintaining and managing the port of Pelabuhan Tanjung Pelepas with the provision of port facilities and other related services. PSM, the respondent, is a private company limited by shares and its nature of business is shipbuilding. By a Sub-Lease Agreement dated 28 June 2005 between PTP and PSM (“Agreement”), PTP sub-leased a portion of land at the Free Zone area of Pelabuhan Tanjung Pelepas (“Land”) to PSM. PSM defaulted in payment of rentals and charges. Pursuant to the Agreement, the dispute has been referred to arbitration. Based on the Amended Statement of Case filed in the arbitral proceedings, PTP claimed for, among others: (a) a declaration that with effect from 31 May 2012 or, in the alternative, 19 July 2012 the Agreement had been determined; (b) an order for vacant possession of the Land; (c) the outstanding rentals in the sum of RM922,174.88 as of 31 May 2012 or alternatively the outstanding rentals in the sum of RM972,820.64 as of 19 July 2012; (d) double rental at the rate of RM37,171.20 per month and RM26,136.00 per month respectively for portions of the Land from 31 May 2012 or alternatively from 19 July 2012 until the date of delivery of possession of the Land; (e) the outstanding charges in the sum of RM131,306.71 as of 30 June 2013. Based on the Re-Re Amended Statement of Defence and Counterclaim filed in the arbitral proceedings, PSM counterclaimed for, among others: (a) SGD42,751,000.00, RM17,550,000.00 and USD5,970,000.00 as specific damages; (b) damages for malicious or injurious falsehood; (c) general damages and aggravated damages for trespass; (d) general damages for private nuisance; (e) general damages for inducing breach of contracts between PSM and their clients. PTP’s solicitors are of the view that PTP has a good chance of succeeding in the arbitration and that there is no merit in PSM’s counterclaim. PTP, therefore, intends to defend the counterclaim vigorously. 3. FINANCIAL IMPACT AND THE INTEREST OF DIRECTORS AND SUBSTANTIAL SHAREHOLDERS OF MMC The arbitral proceedings is not expected to have a material impact on the earnings and the net assets of the MMC Group for the financial year ending 31 December 2014. None of the directors or substantial shareholders of MMC or persons connected with them has any interest, direct or indirect in the aforesaid arbitral proceedings.
