We refer to the announcements dated 31 March 2014 and 4 April 2014 in relation to the Proposals (“Announcements”). Unless otherwise stated, the definitions used herein shall have the same meanings as set out in the Announcements. On behalf of the Board of Directors of Cahya Mata Sarawak Berhad (“CMSB”), Kenanga Investment Bank Berhad (“KIBB”) is pleased to announce that Bursa Malaysia Securities Berhad ("Bursa Securities") has vide its letter dated 11 April 2014 approved the Proposed Subdivision and the listing of and quotation for the Bonus Shares on the Main Market of Bursa Securities. The aforementioned approval by Bursa Securities is subject to the following conditions:- (i) CMSB and KIBB must fully comply with the relevant provisions under the Main Market Listing Requirements (“LR”) pertaining to the implementation of the Proposed Subdivision and Proposed Bonus Issue; (ii) CMSB and KIBB to inform Bursa Securities upon the completion of the Proposed Subdivision and Proposed Bonus Issue; (iii) CMSB to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Subdivision and Proposed Bonus Issue are completed; (iv) CMSB and KIBB are required to make the relevant announcements pursuant to paragraphs 6.35(2)(a)&(b) and 6.35(4) of the LR in relation to the Proposed Bonus Issue and paragraph 13.10(2) of the LR in relation to the Proposed Subdivision; and (iv) Shareholders' approval for the Proposals. In this respect, CMSB is required to furnish Bursa Securities with a certified true copy of the resolution passed by shareholders approving the Proposals prior to the listing and quotation of the Subdivided Shares and Bonus Shares.
