Reference is made to the announcements dated 28 March 2014 and 3 April 2014 in relation to the Proposals (“Announcements”). Unless otherwise stated, the definitions used throughout this announcement shall have the same meaning as defined in the Announcements. On behalf of the Board of Directors of MAICA, the Joint Advisers are pleased to announce that Bursa Securities has vide its letter dated 11 April 2014 (which was received on 14 April 2014), approved the Company’s listing application in respect of the Proposed Rights Issue With Warrants and Proposed Private Placement. The aforesaid approval is subject to the following conditions:- (i) MAICA and its advisers must fully comply with the relevant provisions under Bursa Malaysia Securities Berhad’s (“Bursa Securities”) Main Market Listing Requirements (“MMLR”) pertaining to the implementation of the Proposed Rights Issue With Warrants and Proposed Private Placement; (ii) MAICA and its advisers to inform Bursa Securities upon the completion of the Proposed Rights Issue With Warrants and Proposed Private Placement; (iii) MAICA to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Rights Issue With Warrants and Proposed Private Placement are completed; (iv) RHB Investment Bank Berhad or AmInvestment Bank Berhad must submit to Bursa Securities the placees’ details in accordance with Paragraph 6.15 of the MMLR as soon as practicable after each tranche of placement and before the listing of the new shares to be issued pursuant to the Proposed Private Placement; and (v) Payment of additional listing fees pertaining to the exercise of Warrants. In this respect, MAICA is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Warrants as at the end of a quarter together with details of computation of listing fees payable.
