INTRODUCTION
The Board of Directors of OIB (“the Board”) wishes to announce that the Company has on 24 February 2014 acquired a total of 1,256,357 ordinary shares of RM1.00 each in Brilliant Alliance Sdn Bhd (“BA”) at an offer price of RM2.42 each from the minority shareholders for a total cash consideration of RM3,040,384 (“Acquisition”).

Following the Acquisition, the Company now holds a total of 7,206,357 ordinary shares in BA representing 85% equity interest in BA.

INFORMATION ON MINORITY SHAREHOLDERS

The minority shareholders consist of Chai Tin Kok Holdings Sdn Bhd, Chua Ting San Holdings Sdn Bhd, K.T. Ooi Holdings Sdn Bhd and Longway Sdn Bhd (In Members’ Voluntary Liquidation). The information on the minority shareholders are as follows:-

i) Chai Tin Kok Holdings Sdn Bhd was incorporated on 9 July 1988, and its principal activity is investment holding. Presently, its authorised share capital is RM25,000 comprising 25,000 ordinary shares of RM1.00 each; and its issued and fully paid-up share capital is RM24,503 divided into 24,503 ordinary shares of RM1.00 each. The directors are Chai Tin Kok @ Sua Ah Seng and Khaw Leo Kee.

ii) Chua Ting San Holdings Sdn Bhd was incorporated on 7 July 1988, and its principal activity is investment holding. Presently, its authorised share capital is RM25,000 comprising 25,000 ordinary shares of RM1.00 each; and its issued and fully paid-up share capital is RM18,522 divided into 18,522 ordinary shares of RM1.00 each. The directors are Hua Ah Ba @ Chua Tin San and Ooi Gim Ching.

iii) K.T. Ooi Holdings Sdn Bhd was incorporated on 25 September 1986, and its principal activities are letting of landed properties and investment holding. Presently, its authorised share capital is RM500,000 comprising 500,000 ordinary shares of RM1.00 each; and its issued and fully paid-up share capital is RM100,000 divided into 100,000 ordinary shares of RM1.00 each. The directors are Ooi Keng Tan, Goik Cheng Sew, Ooi Inn Kee and Ooi Enn Hee.

iv) Longway Sdn Bhd (In Members’ Voluntary Liquidation) was incorporated on 24 April 1978, and its principal activities are property development, lending of money and investment holding. The Company was under Members' Voluntary Liquidation since 29 October 2012. Its authorised share capital and fully paid-up share capital is RM10,000,000 and RM4,200,000 divided into 10,000,000 and 4,200,000 ordinary shares of RM1.00 each respectively. The directors are Goh Cheng Guan @ Goo Beng, Ooi Keng Tan and Goh Aik Keong.

DETAILS OF THE ACQUISITION

i. Basis and justification of arriving at the purchase consideration
      The purchase consideration of RM2.42 per ordinary share of RM1.00 each in BA was arrived at on a willing buyer willing seller basis after taking into consideration the Net Tangible Assets based on the Audited Financial Statements as at 30 June 2013 of BA.

ii. Term of payment
      The purchase consideration was fully satisfied in cash amounting to a total of RM3,040,384 via internally generated funds.

iii. Liabilities to be assumed
      The shares purchased are free from encumbrances, trust, assignment or adverse claims.

FINANCIAL EFFECT OF THE ACQUISITION

The Acquisition will not have any effect on the issued and paid-up capital of OIB nor any material effect on the earnings, net assets or gearing of OIB on a consolidated basis for the financial year ending 30 June 2014.

RATIONALE FOR THE ACQUISITION

OIB Group would like to continue to focus on its core businesses in property development and strive to maintain a proportion of equity holding which can provide recurring income to OIB Group.

STATEMENT BY DIRECTORS

The Board is of the opinion that the Acquisition is in the best interest of OIB Group.

RISK FACTORS OF THE ACQUISITION

There are no known risk factors for the Acquisition.

HIGHEST PERCENTAGE RATIO APPLICABLE

The highest percentage ratio applicable to the Acquisition pursuant to Paragraph 10.02(g) of the Main Market Listing Requirements is 5.10% based on the net profits attributable to the assets of the subject transaction compared to the net profits of OIB Group.

APPROVAL REQUIRED

The Acquisition is not subject to the approval of shareholders of OIB.

INTERESTS OF DIRECTORS, MAJOR SHAREHOLDERS AND/OR PERSONS CONNECTED TO THEM

None of the Directors, Major Shareholders of OIB or persons connected with them has any interest, whether direct or indirect in the Acquisition.
