| Description | ASDION BERHAD (“ASDION” OR THE “COMPANY”) (I) PROPOSED FREE WARRANTS ISSUE (II) PROPOSED PRIVATE PLACEMENT OF SHARES WITH WARRANTS (III) PROPOSED SIS (IV) PROPOSED INCREASE IN AUTHORISED SHARE CAPITAL (V) PROPOSED AMENDMENT (COLLECTIVELY REFERRED TO AS THE “PROPOSALS”) |
We refer to the announcements dated 20 November 2013 and 13 December 2013 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.
On behalf of the Board, TA Securities wishes to announce that Bursa Securities had, vide its letter dated 5 February 2014 (which was received on 6 February 2014), approved the following:
(i) admission of 8,350,760 Free Warrants and up to 43,840,500 Placement Warrants to the Official List of the ACE Market of Bursa Securities;
(ii) listing of and quotation for up to 8,350,760 Free Warrants and up to 43,840,500 Placement Warrants on the ACE Market of Bursa Securities; and
(iii) listing of and quotation for up to 29,227,000 Placement Shares, up to 52,191,260 new Asdion Shares to be issued pursuant to the exercise of the Warrants and such number of new Asdion Shares to be issued pursuant to the exercise of the SIS Options on the ACE Market of Bursa Securities.
The approval granted by Bursa Securities for the above is subject to the following conditions:
(i) Asdion and TA Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposals;
(ii) TA Securities is required to submit a confirmation to Bursa Securities of full compliance of the Proposed SIS pursuant to Rule 6.44(1) of the Listing Requirements and stating the effective date of implementation together with a certified true copy of the resolution passed by the shareholders in general meeting;
(iii) Asdion and TA Securities to inform Bursa Securities upon the completion of the Proposals;
(iv) Asdion to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed.
