Reference is made to the Company’s announcement dated 12 December 2013 (“Announcement”). Unless otherwise stated, defined terms used in this announcement shall carry the same meanings as defined in the Announcement. The Board of Directors of OIB wished to announce that based on the Record of Depositors upon closing of the Offer as at 12 December 2013 (“Closing Date”), the Company’s public shareholding spread was as follows:
As such, the Company did not comply with the public shareholding spread requirement pursuant to Paragraph 8.02(1) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“Bursa Securities”) (“Public Shareholding Spread Requirement”). Pursuant to Section 4.1 of the Offer Document, it is the intention of the Offeror, Jupiter Sunrise Sdn Bhd (“Jupiter”) to maintain the listing status of OIB on the Official List of Bursa Securities. The Company intends to rectify the public shareholding spread requirement of OIB within three (3) months from the Closing Date by way of the following: (i) Jupiter placing out OIB Shares to third-party investors and/or disposing OIB Shares in the open market; and/or (ii) OIB undertaking a private placement exercise to rectify the public shareholding spread of OIB. The actual course of action to be taken will depend on, amongst others, the circumstances as well as the prevailing market conditions at the relevant time. In view of the above, an application to Bursa Securities has been made today for an extension of time for OIB to comply with the Public Shareholding Spread Requirement within three (3) months from the Closing Date.
