| Description | China Stationery Limited - Proposed Change of Auditors |
The Board of Directors of China Stationery Limited (“CSL” or “the Company”) wishes to announce that Messrs. Foo Kon Tan Grant Thornton LLP had on 29 November 2013, given notice in writing to the Directors of the Company of their intention to resign as auditors of the Company. Their resignation will only take effect on the appointment of new auditors pursuant to Section 89(2) of the Companies Act, 1981 of Bermuda. Further, the Board of Directors of CSL also wishes to inform that the Company is not aware of any other matters or circumstances connected with the resignation of auditors that which they consider need to be brought to the attention of the shareholders of the Company. Subsequently on 6 December 2013, the Company had received the written consent of Messrs RT LLP to act as auditors of the Company for the financial year ending 31 December 2013, if so appointed. The Board, as endorsed and recommended by the Audit Committee of the Company, has resolved to propose the appointment of Messrs RT LLP as auditors of the Company to fill the vacancy following the resignation of Messrs Foo Kon Tan Grant Thornton LLP and to hold office until the conclusion of the next Annual General Meeting of the Company at a remuneration to be determined by the Board ("Proposed Change of Auditors"). The Proposed Change of Auditors is subject to and conditional upon approval being obtained from the shareholders of CSL at a special general meeting (“SGM”) to be convened. A Circular containing the details and information of the Proposed Change of Auditors together with the Notice of SGM will be despatched to the shareholders of the Company in due course.
