Reference is made to the announcements made on 3 May 2013 and 7 May 2013, the Board of Directors of HHB wishes to announce that on 5 June 2013, Messrs Adnan Sundra & Low (“the solicitor”) acting for Prima Uno and MTB, issued a Demand Letter dated 4 June 2013 (“Demand”) to HHB and demanding payment of a sum of RM34,291,536.30 as at 25 April 2013 with interest, particulars of which are as follows: i. Principal Amount Due RM 30,000,000.00 ii. Interest Due RM 3,876,016.44 iii. Default Interest Due RM 415,519.86 Total Outstanding as at 25.04.2013 RM 34,291,536.30 In the same Demand, the solicitor informed HHB to disregard the Statutory Notice of Section 218 dated 29 April 2013, which has been served to the Company on 30 April 2013 and the Company has subsequently announced on 3 May 2013 and 7 May 2013. HHB is given fourteen (14) days from the receipt of the Demand to pay the aforesaid sum, failing which, all necessary steps, not limited to winding up proceedings may be filed against HHB. Furthermore, any payment made less than the demand sum shall be deemed received by Prima Uno and MTB without prejudice to their rights to institute any legal proceedings against HHB to recover any outstanding balance without further reference to the Company whereby the Company shall be liable for all costs incurred thereto. The term loan is a primary collateral loan obligation obtained by the Company on 8 January 2007, under the agreement, the loan is scheduled to fall due on 26 January 2012. The Company, via a letter issued on 9 January 2012 to the lender, had sought an indulgence for an informal standstill until the Company undertakes to restructure the debt. Subsequent to the request and pending the debt restructuring, an informal standstill was observed by the lender. The management is of the view that the reason leading to the filing of demand was due to the delay by the Company in implementing its proposed debt restructuring, owing to changes of circumstances such as:- 1. Winding-Up Order (“Winding Up”) issued under the High Court in Sabah and Sarawak at Kuching to Hexagon Tower Sdn Bhd (“HTSB”), a wholly-owned subsidiary of the Company and, 2. A Summary Judgement obtained by Standard Chartered Bank Malaysia Bhd (“SCB”) against Polymer Composite Asia Sdn Bhd (“PCA”), PCA is a wholly-owned subsidiary company of HTSB which in turn is a wholly-owned subsidiary company of the Company. HHB is in the midst of seeking legal advice to defend against the aforesaid demand. Save for the RM34,291,536.30 sum as demanded by MTB plus our legal cost and incidental cost, there is no other financial nor any operational loss of the demand on the Group as the company has accrued the owing in the Company’s financial liability.
