We refer to the announcement made on 29
April 2013 in relation to the Proposed Disposal (“Announcement”). Unless otherwise defined, the definitions set out
in the Announcement shall apply herein. On behalf of the Board of Directors of KPSB, AFFIN Investment Bank Berhad wishes to announce that the details of the material property assets of KHSB Group as referred to in the Announcement are set out in the attachment. A valuation exercise on the said material property assets of KHSB Group to ascertain their market value is currently being carried out by C.H. Williams Talhar & Wong Sdn Bhd, an independent property valuer, and is pending completion. (Unless the context otherwise requires, all expressions used herein shall have the same meanings assigned thereto in the announcement made on 24 May 2012.) Further to our announcements dated 24 May 2012, 30 August 2012, 30 November 2012 and 28 February 2013, KHSB wishes to announce the latest development on the Memorandum of Understanding dated 24 May 2012 between the Company and NZA in respect of the preparation of master plan for the development of Pulau Indah East into an integrated township (“the Project”). 1. Introduction
2. Details of the MOA
The scope of the Consultancy Services to be provided by the Lead Consultant shall be as follows:
(b) To liaise with the planning authority and/or other relevant authorities to ensure timely approval of all necessary requirements for the commencement of the Project; (c) To attend meetings, discussions and presentations as and when required by the planning authority i.e. Majlis Perbandaran Klang (hereinafter referred to as “MPK”) and/or other relevant authorities, if required; (d) To prepare the master layout plan for the purpose of planning submission and inconformity to the town planning requirement. The master plan will show the development components and its layout configuration, floor area tabulation, plot ratio and plinth area percentage, internal circulation as well as provisions of infrastructure and utilities reserve and landscaping zone; (e) To prepare the Planning Report, “Laporan Cadangan Pemajuan” (LCP) as a supporting document for the planning submission and complying to the Section 21A of the Town and Country Planning Act 1976 (“the Act”). The report will outline the detail development design and component, site analysis, circulation and accessibility, any analysis of existing and use and surrounding development, land matters and all other required details as required under the Act. The report will be supported by the plans, sketches, site photographs and aerial view perspective to be prepared respectively in conformity with the approval of KHSB;
(g) To liaise with Jabatan Kerja Raya and highway authorities (Lembaga Lebuhraya Malaysia) on data collection and proposed road connection; (h) To liaise with traffic planner on the proposed access road design to include the conceptual and preliminary design for the compliance to the Road Safety Audit Stage 1 and 2; (i) To liaise with all relevant authorities on data collection and proposed connection to existing services; (j) To do the preliminary design for Earthworks up to formation level to ensure suitability and to accommodate other external works; (k) To do the preliminary design for the drainage system in accordance with Urban Storm Water Management Manual for Malaysia (Manual Saliran Mesra Alam – MASMA) by the Department of Irrigation and Drainage, Malaysia; (l) To do the preliminary design for sewerage system and external water reticulation; (m) To do the preliminary geotechnical design with reference to its technical adequacy, cost effectiveness, constructability, short term and long term safety requirements including that of adjacent properties, acceptable codes of practice, standards, guidelines and bylaws; (n) To liaise with relevant local authorities i.e. Tenaga National Berhad, Telekom Malaysia and Bahagian Kejuruteraan MPK on the technical requirements for the preliminary design of:-
ii. Telephone distribution system; iii. Intercommunication system; iv. Electrical main intake; v. Electrical sub-station; vi. Street lighting (o) To prepare the Environmental Impact Assessment and submit to Jabatan Alam Sekitar for approval; and (p) To provide any other consultancy services, if required, in respect to obtaining relevant approvals pertaining to the Project in accordance to the current requirements and guidelines by the relevant authorities.
The Consultation Fee shall be payable based on the total category of payment as stipulated in the schedule of payment of the MOA and shall be paid by KHSB to NZA within 30 days from the receipt of the invoice from NZA. 3. EFFECTS OF THE MOA The MOA is not expected to have material effects on the earnings per share, net assets per share, gearing, share capital and substantial shareholders’ shareholding of KHSB for the financial year ending 31 December 2013. 4. DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS To the best of knowledge of the Directors of KHSB, none of the Directors and major shareholders of KHSB or persons connected to them have any interest, direct or indirect, in the MOA.
A copy of the MOA is available for inspection at the registered office of KHSB at Level Lot 1A, Level 1A, Plaza Perangsang, Persiaran Perbandaran, 40000 Shah Alam, Selangor Darul Ehsan during normal office hours from Monday to Friday (except public holidays) for duration of three (3) months from the date of this announcement.
